1. CALL TO ORDER, ROLL CALL, DETERMINATION OF QUORUM

President Morgan called the meeting to order at 12:34 p.m.

Directors Samuel Frye, W. Douglas Morgan, Richard Shaikewitz,

Directors Absent:

Directors Jan E. Abel, and Larry Wilson

Staff Present:

Tom Mosby, General Manager

Chip Wullbrandt, District Counsel

CVWD Directors and Staff Present:

Directors Lemere, Lieberknecht, Van Wingerden, Drain, and Roberts

Charles Hamilton, General Manager

Rob McDonald, Engineering Manager

Mark Manion, Price, Postel, & Parma

2. PUBLIC FORUM

There were no members of the public present who wished to speak on items not on the agenda.

3. Closed Session

A. CLOSED SESSION: PURSUANT TO GOVERNMENT CODE SECTION 54956.9(a), EXISTING LITIGATION, CARPINTERIA VALLEY WATER DISTRICT ET AL vs. PENFIELD & SMITH ENGINEERS ET AL; SANTA BARBARA SUPERIOR COURT CASE NUMBER 1303752

The Board adjourned to closed session on the above matter at 12:36 p.m.

The Board reconvened to open session at 1:45 p.m. President Morgan reported that the Board had given direction to District counsel.

No action was taken following closed session.

5. ADJOURNMENT

There being no further business to come before the MWD Board of Directors, the meeting was adjourned at 1:46 p.m.
